Chris Cantell Discusses Acquisitions: Achizitia lui Murdoch o provocare pentru Financial Times
by Notme dfsfs

by Cori

News Corp. a fost infiintata in America in 1980 si a cumparat jumatate din 20th Century Fox in urmatorul an.

Chris Cantell Discusses Acquisitions: Afacere pecetluita
by Claudia Sonea

Savurati!

Chris Cantell Discusses Acquisitions: Ce va fi?
by Claudia Sonea

by Claudia Sonea

Deal or No deal
by Claudia Sonea

Blockbuster Inc., the largest chain of DVD and video game rental stores in the world, announced that it will not only amaze everyone with its first quarter revenue, but it would also undergo a hostile takeover bid for Circuit City Stores Inc. However, its own movie-rental business is troublesome and analysts have doubts about the deal. Chief Executive James Keyes gave some of the details concerning the fulfillment of the deal by describing a 9,300-store chain that would sell portable devices and entertainment for them with movie-rental stores inside larger Circuit City stores. In spite the fact that he joined the company only last summer, he already did some changes like buying Movielink, a digital movie-downloading service handled by major Hollywood studios. Circuit City, the second biggest consumer electronics chain in US, was forced to lay off some 3,400 workers and focus on smaller concept stores, how to reduce costs and its Firedog tech-service business due to the decline of almost $27 slide in share prices. They are looking for new means of recovering, but the deal with Blockbuster doesn't seem probable as it is way above Blockbuster's entire stock market value. Since they were approached for the first time with the offer in December, they have refused to show their books and even after the letter sent to Circuit City CEO Philip Schoonover, shareholders were advised to wait until the company board analyses the bid. The deadline for an answer was on February 21, but they did not offer any of the requested information. Keyes managed to bring some improvements to the company struggling to compete against small DVD retailers or by-mail rental services. Yet, the deal with the endangered stores-chain might be more than he could handle. The only solution is to wait and see whether he will convince Circuit City to give in or not. More to come...

Wendy's Bought for $2.34 Billion Kamila Moravcikova

The history of Wendy's, large fast food chain, ranges back to 1969 when Dave Thomas opened his first restaurant in Columbus, naming it after his little daughter Melinda Lou who was also known as Wendy. As the time passed by, Wendy's become one of the most eminent fast food chains, reaching number three position, backing up its major burger competitors – McDonalds and Burger King. As some more the time passed by, Wendy's lost its key person Thomas - who died in 2002 - and it seemed that people at Wendy's were running out of good ideas that could be turned into revenues. Instead, they lost a significant amount of customers. Moreover, proceeding economic crisis forced many Americans to revalue their expenditures – no more careless eating out, it's time to activate cooker once again. At this point, it was clear that something drastic needs to be done at Wendy's.Well, the resolution is drastic indeed, but it's probably not that kind of solution many (especially Thomas family) were hoping for. Nelson Peltz finally achieved success – he had to swallow at least two categorical “No, thanks” to his previous offers. The third one did not fall flat so the world got wind of $2.34 all-stock deal. The owner of Triarc Companies which operates Arby's restaurants, significant shareholder of companies such as Cadbury Schweppes PLC, H.J. Heinz Co. or Tiffany & Co. previously owned 9.8 percent of Wendy's International Inc. stock through his Trian Fund, now became a full-time owner.Sad, sad, sad. That's what many Wendy's fans are saying nowadays. They expect cardinal changes and are pretty much sure that Wendy's will never be the same. And some are dare enough to say – old Thomas is for sure rolling over in his grave. Anyway, all I can add to the “sad, sad, sad” part is that I can remember my birthday “party” back then. I was freshly twenty two years old and I was in American Mid West, far far far away from home, whole family and closest friends, sitting sadly over Wendy's chocolate Frosty dessert.

Alitalia without bids
by Claudia Sonea

US should feel relieved; at least it is not the only one dealing with bankruptcy. Both it and Europe have issues in the airlines sector. American airliners Frontier Airlines Holdings Inc. or ATA declared bankruptcy, while Delta and Northwest will merge in order to avoid such a disaster. Meantime, Italy’s Alitalia is also in a difficult position being forced to take measures in order to avoid running out of business. Alitalia is Italy’s flag career airline with 49.9 percent of its shares under the ownership of the Italian government. Since its foundation in 1946 the airliner had only one year of profit and the rest were marked by big time losses as a consequence labour problems and government and political interference. Mostly if it managed to survive until now it is only due to the fresh capital infused by the government and other organizations. Yet, the European Union had forbidden any further help or grants from the part of the Italian government, thus the option remaining is a privatization of the airliner and a lower political ownership. Air France-KLM Group; an investment group led by businessman and lawyer Antonio Baldassare; and a group composed by the Italian domestic carrier Air One and several banks presented their offers in December 2007. On March 2008 the proposal of Air France-KLM Group was accepted, but on Monday, 21 April, Europe's biggest airline announced dropping its bid and justifying it the fact that the demands of Alitalia’s unions are unreasonable and did not respect the initial agreement. Silvio Berlusconi, the Italian prime minister starting next month, is against Air France’s takeover considering it as being an insult and unless the terms will not be changed, they would prefer an Italian consortium. Meantime, Alitalia’s situation is not getting better and the cabinet must meet and sort things out and keep on flying. More to come…

HP shopping
by Claudia Sonea

Do you remember that three years ago Hewlett-Packard Co. was struggling to reach its major rivals? Well, now it has snatched the position of the world's largest technology company from IBM and that of world's the top seller of personal computers from Dell. This is all due to Mark Hurd who was hired as CEO three years ago. He managed to double the company’s stock price and acquired some important businesses like software maker Mercury Interactive Corp and data management provider Opsware Inc. Forced by the Wall Street Journal’s article rumoring a deal with technology services provider Electronic Data Systems Corp (EDS), on Monday both HP and EDS confirmed being in talks. Yet they refused to comment any further on the deal that would bring more consulting and data management contracts to HP who lingered for a long time to surpass IBM even in this area. This acquisition would be the biggest since that of Compaq Computer Corp. in 2002. Nevertheless, EDS was rumored to be talking to Deutsche Telekom and Dell previously and even though it was never confirmed, it might mean the company has unreasonable demands. Also, a corporate marriage with HP could bring forward irreconcilable differences. Because the market of technology consulting and customer support services has a high demand, HP focuses now on developing this division and the deal with EDS comes after in 2000 lost PricewaterhouseCoopers' consulting division to the rival IBM. If Hurd manages to close the deal HP would get more government contracts (EDS has better connections since its founder H. Ross Perot run for presidency). Rumor has it that the talks might come to an end today, so stay connected.

Chris Cantell Discusses Acquisitions: 3..2..1..mine!
by Livia Necasova

Thomas Hobbes, one of the major english philosophers of the 17th century was convinced that people innate the instict of self preservation. Everybody has this instict, we always want to have more and more and in order to get it and to survive we` re able and ready to do anything. Its a state of war- everyone against everyone.Transforming from 17th century back to present we can see that the world didn`t change. It just works a little bit different than in the past. Instead of just killing or beat up someone, we cheat and intrigue. And we try to do it faster than the others and not always necessarily by holy means. The world is like e-Bay. People sell, buy and try to be better and to have more than the others. You can read everyday in the papers which company is buying another company, wants to buy another company..If you don`t buy, you get bought. Thats how it works.Today we can concentrate on a certain company called UTC (stands for United Technologies Corporation) which wants to buy another company called Diebold Inc.UTC is a mixed affiliated group which owns e.g. helicopter manufacturers, elevator and escalator specialists, heating and air conditioning systems and many others. They want to buy Diebold Inc., offering the company almost 3 billion dollars. Diebold is specialized on ATM, security systems, voting machines and cash registers. They don`t want to be bought by United. The offer was unwanted and clearly undervaluated. So its probably gonna be more of a hostile acquisition than a peaceful fusion. The Diebold shares rised at more then 60 %. since the announcement though. I guess thats more then good.Maybe they `ll change their mind after all.

Chris Cantell Discusses Acquisitions: Yahoo in talks
by Claudia Sonea

Decisions, decisions, it is so hard to make up your mind and Yahoo Inc. is best fit to talk about it. As everyone knows, on February 1, Microsoft made a public offer to buy Yahoo at $44.6 billion and now the latter one is trying to merge with AOL in order to prevent its takeover. They wouldn't have refused Microsoft's offer, but it was too low to meet up their expectations. However, there is still hope. Yahoo has not yet nominated the candidates to its board and has postponed it until after March 14; that is after the annual shareholder meeting. Therefore Microsoft has a small chance to fulfill its desire of takeover by helping its supporters to get on Yahoo board and facilitate a deal. Nevertheless, it should hurry, because Yahoo is preparing a defense strategy that might just well make it the leader of third-party network businesses. If it is indeed true what Wall Street Journal reported, then Yahoo and AOL are talking the possibility of a merge. Time Warner Inc. (with whom they talked even 3 years before) has 25 percent of AOL and it is more likely to ask a third of the resulted company. Google who owns 5 percent of AOL might oppose due to the competition that it would actually represent by becoming very attractive to advertisers. Others say media conglomerate News Corp who owns MySpace would be another option. Both AOL and Yahoo have better chances and would have more profit by joining forces than if they standalone. Yahoo would reduce costs like technology, distribution, and the combined company would have a stronger share engine. Stay connected and see if the rumors are true or not. Until now neither Yahoo, nor AOL, did not comment on the matter, thus it did not confirm it, nor denied it.

Yahoo rejects offer from Microsoft
by Zuzana Zelenakova

Yahoo´s board of directors formally rejected offer from Microsoft Corp. at a meeting in New York claiming that $43,7 billion, which is $31 per share, is not enough for such a renowned Internet company and so merger agreement is out of the question for now at least. Yahoo´s Chief Executive Officer Jerry Yang believes that 14 years of work on the company are worth more and the offer doesn´t take into account risks Yahoo would go through by entering this agreement. When Microsoft announced the bid at the end of January its share price has fallen while on the contrary that of Yahoo has risen. But after the rejection of the initial offer it was the share price of Yahoo that dropped more than 23 percent to $22. On the other hand Microsoft share price went up 4.3 percent. As a result CEO Jerry Yang faces criticism from Yahoo´s shareholders. “Clearly there´s a frustration,” said Darren Chervitz from the Jacob Internet Fund that owns stocks of the company. “I am not even sure if Yahoo cares about its shareholders because they didn´t show much regard for shareholders´ best interests in this process.” “You are going to see a lot of shareholders just throwing in the towel because they are going to realize it´s going to take a while for the stock to get back to where it was Friday,” added analyst for Standard & Poor Scott Kessler. Merger between Yahoo and Microsoft would definitely create a powerful entity in online search business, which currently Google dominates. And it would be also one of the biggest deals in the technological field in quite some time together with Hewlett-Packard´s takeover of Compaq in 2002, where the latter one was bought for $25 billion. Jerry Yang announced that Yahoo is currently examining its options and possibly considers a partnership with Google Inc. or get a higher offer from Microsoft.

Chris Cantell Discusses Acquisitions: Yahoo odmieta ponuku Microsoftu
by Zuzana Zelenakova

Yahoo's lost bid
by Claudia Sonea

Yahoo Inc. has lost one of its pretenders as Microsoft withdrew the buyout offer. Both Yahoo shareholders and analysts are blaming Jerry Yang, Yahoo’s CEO, for the fail of the negotiations and are doubtful about the company’s future. Yet, Yang will have his chance to justify his actions on Monday at the shareholders meeting. Darren Chervitz, co-manager of the Jacob Internet Fund (owner of Yahoo stock), revealed that Yahoo’s CEO will not be received very well. On Saturday the talks between Microsoft’s CEO Ballmer and Yang clashed as they couldn’t get to a mutual agreement on the share’s price (in between the offer of $33 per share and the demand of $37 per share). Due to the clash analysts forecast a huge drop in Yahoo's stock price and lawsuits popping up if Yang will not succeed to convince them of his plan involving Yahoo's upgrade to a better Internet advertising platform increasing net profit with more than 25 percent in 2009- 2010. In spite of the ego that made Yahoo to sniff at Microsoft’s bid, the company did not succeeded to avoid humiliation as it turned to Google searching for help. Like a damsel in distress, Yahoo searched comfort in Google’s arms and after the two weeks trial that were successful the relation seems to go steady. Nevertheless this love might be forbidden due to antitrust laws and the fact that it will give them 80 percent of the U.S. search advertising market. Meantime, you know a woman always has a plan B dwelled in her mind, therefore Yahoo has it too, with a possible merger with AOL's Internet operations or even the possibility for the board to buy some of the stock back. What it will be? Don’t go away, things are just starting to warm up a little. Enjoy!

Chris Cantell Discusses Acquisitions: Magnatul Rupert Murdoch detine in sfarsit WSJ
