Dnes si ako priklad mozme zobrat firmu UTC ( United Technologies Corporation) ktora chce kupit spolocnost Diebold Inc.UTC je zmiesana spolocnost ktora vlastni napriklad vyrobcov helikopter, specialistov na vytahy a eskalatory, tepelne zariadenia a ventilatory a mnoho inych. Chcu kupit Diebold Inc. za 3 miliardy dolarov. Diebold sa specializuje na bankomaty, bezpecnostne zariadenia, hlasovacie zariadenia a kasy. A nechcu byt kupeni spolocnostou United lebo ta ponuka bola nechcena a velmi podcenena.Takze to skor bude nepriatelske prevzatie ako mierumilovna fuzia. Akcie Dieboldu vsak stupili o 60 percent odvtedy. Myslim si ze to je viac nez dobre.Mozno si to nakoniec este rozmyslia.

Dow Jones, firma care publica legende ale revistelor financiare cum ar fi The Wall Street Journal si MarketWatch, detinuta de familia Bancroft, este pe cale sa foe cumparata de Rupert Murdoch. Numele poate va suna familiar, el fiind bogatul si mandrul detinator al News Corp, asa ca apropiata cumparare va pune publicatiile Dow Jones alaturi de alte branduri importante ca 20th Century Fox si Daily Telegraph. Acesta poate fi si inceputul unei serii lungi de schimbari pentru nou-cumparatele ziare, Murdoch fiind renumit pentru influentarea continutului articolelor; totusi, faptul ca noii lui angajati sunt castigatori ai unor importante premii, ar trebui sa fie un stimulent destul de puternic incat acesta sa ii lase sa faca lucrul pe care il stiu ei cel mai bine. Mogulul media vrea ca The Wall Street Journal sa contina mai multe stiri de interes general si sa devina mai popular in Europa si Asia; globalizarea cuprinde si canalele media si ca de obicei, aduce cu ea schimbari caracteristice. Investigatiile antitrust, o problema frecventa in orice corporatie mare, nu ii vor deranja pe Murdoch si echipa sa, studiile aratand ca ziarele si posturile lui de televiziune nu vor actiona pe aceleasi piete locale. Totusi, tranzactia va fi supravegheata de o serie de comisii si va necesita aprobarea Comisiei Federale de Comert (Federal Trade Commission) si a Departamentului de Justitie american. News Corp. a fost infiintata in America in 1980 si a cumparat jumatate din 20th Century Fox in urmatorul an. A creat si reteaua Fox care a fost adesea criticata pentru stirile sale impartiale, iar temerile ca Murdoch se va implica in munca jurnalistilor sai nu sunt nefondate. Sa speram totusi ca va intelege importanta pastrarii unor marci ca WSJ relevante pentru cititorii lor, altfel viitorul jurnalismului de calitate este in mare pericol.

Ei vor sa exploreze acum oferte cu canale TV pentru a castiga sau a se mentine in aceasta "afacere".Potrivit sefului executiv al Pearson, Dame Marjorie Scardino, Financial Times a fost in tratative cu multi parteneri pentru emisie."Suntem inca in tratative cu CNBC si altii ca sa gasim un canal bun pentru noi" a spus ea. "Am vorbit cu toata lumea. Am fost foarte implicati in discutii cu CNBC pentru ca ei incearca sa-si intareasca afacerea, precum si noi care incercam sa gasim noi cai de a transmite stirile noastre financiare".Este foarte increzatoare ca Financial Times va fi capabil sa concureze cu The Wall Street Journal, si considera ca ziarul britanic este un competitor corespunzator.CNBC are o intelegere cu The Walt Street Jorunal pentru a-i folosi jurnalistii sa intre in direct, dar acum Murdoch are propriul canal de stiri financiare, Fox Business, iar analistii cred ca va retrage aceasta intelegere, pentru a folosi reporterii pentru propriul canal. Ori de cate ori o mare corporatie cumpara o companies au o marca ziarele starnesc o mare agitatie, de parca ar fi afacerea anului. Nu surpinde pe nimeni daca afacerii cumpararii lui Dow Jones & Co. de Rupert Murdoch's News Corp. ziarele New York Times, New York Daily News si The Wall Street Journal i-au acordat Prima Pagina. Surpinde doar faptul ca ziarul Post, singurul cotidian American al lui Murdoch nu a scris despre afacere decat la rubrica de afaceri. Datorita faptului ca ei reprezinta unul dintre contractanti ar fi trebuit sa-I faca si mai mare publicitate. Principalul motiv, in opinia mea, este ca afacerea nu a fost atat de importanta asa cum toti incercau sa para a o face, precum si faptul ca Dow Jones & Co va fi integrata in News Corp, conform spuselor lui Paul Tharp si Peter Lauria, autorii articolului din ziarul the Post. Odata ce se va realize integrarea noi achizitii, nu mai exista nici un motiv pentru a ii face publicitate si ar parea ca si cum s-ar lauda daca ar face un mare tam-tam pe aceasta chestiune. Oricum cand misterul este prea evident atunci ceva se intampla cu siguranta si proprietarii ziarului the Post nu vreau sa se descopere. Pana cand cineva se decide sa faca public secretul care invaluie intreaga afacere si termenii ei, tot ceea ce avem este presupunerea si marea abilitate de a crea teorii a ceea ce se intampla in spatele cortinei.Stati conectati si mai dati cate un click, cine stie cand veti vedea o stire de ultima ora despre tot. Revenind la realitate, Microsoft Corp, tocmai a primit o palma peste fata prin intermediul unei scrisori primita de la consiliul director al lui Yahoo. In ea se regaseste un refuz ferm sa vandal daca nu vor primi $45 de miliarde. Dupa 2 luni de razboi rece si tensiune problema a fost in sfarsit pus ape masa. Astfel ca cei doi rivali fie vor convinge domnita sa accepte de buna voi pe unu din ei, fie vor apela la actionarii Yahoo la intalnirea lor anuala, ducand razboiul pana in vara. Oferta originala a lui Microsoft a fost de $44.6 miliarde si directorul executiv Steven Ballmer a fixat ca data 26 Aprilie pentru Yahoo sa se decida. A mai amenintat ca va cobora oferta si va cere lui Yahoo sa-I inlocuiasca pe cei 10 directori care se opun preluarii. De cealalta parte, Presedintele Yahoo Roy Bostock si directorul executiv Jerry Yang i-au reprosat lui Ballmer ca nu avanseaza cu negocierea. Desi in Februarie oferta facuta de Microsoft era 62 de procente peste valuarea de pe piata a lui Yahoo, valoarea ofertei a scazut ca urmare a pierderii a 11 procente din pretul actiunilor care garanteaza jumatate din aceasta oferta. Insa si Yhaoo a pierdut 66 procente si analistii cred ca in ciuda atitudinii optimiste, situatia e gri si daca decizia va depinde de actionari, acestia ar putea sa o accepte. Domnita se lasa greu, dar daca asta va periclita posibilitatea de a primi chiar si banii oferiti pana acum? Nu plecati, urmeaza!

Blockbuster Inc., cel mai mare lant de magazine de inchiriat DVD-uri si jocuri video din lume, a anuntat ca va uimi pe toata lumea nu doar cu profitul de pe primul trimestru, dar si cu oferta unei preluari ostile a lui Circuit City Stores Inc. Totusi, propria afacere de inchiriare a filmelor este problematica si analistii sunt neincrezatori in ceea ce priveste o astfel de afacere. Directorul executiv James Keyes a oferit cateva detalii despre implinirea unei astefl de afaceri descriind un land de 9300 demagazine care ar vinde dispozitive portabile si entertainment cu magazine de inchiriat filme inauntrul magazinelor Circuit City. In ciuda faptului ca s-a alaturat companiei doar in vara trecuta, el a realizat deja cateva schimbari precum cumpararea Movielink, un serviciu digital de descarcat filme operat de marile studiouri de la Hollywood. Circuit City, al doilea lant de magazine de electronice ca marime din SUA, a trebuit sa concedieze 3,400 de munictori si sa se axeze pe magazine mai mici, reducerea costurilor si afacerii Firedog tech-service datorita declinului de aproape $27 slide in pretul actiunilor. Astfel ca ei cauta noi mijloace de a-si reveno, dar afacerea cu Blockbuster pare putin probabila intrucat este mult peste valoarea de pe piata a intregului Blockbuster's. De cand au fost abordati in decembrie, au refuzat sa isi prezinte rapoartele si chiar si dupa scrisoarea trimisa directorului executiv al Circuit City Philip Schoonover, actionarii au fost sfatuiti sa astepte pana comitetul de conducere analizeaza oferta. Termenul limita pentru un raspuns a fost 21 februarie, dar ei nu au oferit nici una din informatiile cerute. Keyes a reusit sa aduca imbunatatiri la o comapanie ce se zbatea sa concureze cu mici magazine de inchiriat DVD-uri sau servicii de email. Insa afacerea s-ar putea dovedi mai mult decat poate el manevra datorita lantului de magazine care e deja pe muchie de cutit. Singura solutie e sa asteptam sa vedem ce urmeaza.

Deal or No deal

Blockbuster Inc., the largest chain of DVD and video game rental stores in the world, announced that it will not only amaze everyone with its first quarter revenue, but it would also undergo a hostile takeover bid for Circuit City Stores Inc. However, its own movie-rental business is troublesome and analysts have doubts about the deal. Chief Executive James Keyes gave some of the details concerning the fulfillment of the deal by describing a 9,300-store chain that would sell portable devices and entertainment for them with movie-rental stores inside larger Circuit City stores. In spite the fact that he joined the company only last summer, he already did some changes like buying Movielink, a digital movie-downloading service handled by major Hollywood studios. Circuit City, the second biggest consumer electronics chain in US, was forced to lay off some 3,400 workers and focus on smaller concept stores, how to reduce costs and its Firedog tech-service business due to the decline of almost $27 slide in share prices. They are looking for new means of recovering, but the deal with Blockbuster doesn't seem probable as it is way above Blockbuster's entire stock market value. Since they were approached for the first time with the offer in December, they have refused to show their books and even after the letter sent to Circuit City CEO Philip Schoonover, shareholders were advised to wait until the company board analyses the bid. The deadline for an answer was on February 21, but they did not offer any of the requested information. Keyes managed to bring some improvements to the company struggling to compete against small DVD retailers or by-mail rental services. Yet, the deal with the endangered stores-chain might be more than he could handle. The only solution is to wait and see whether he will convince Circuit City to give in or not. More to come...

Microsoft wants a piece of Facebook Corina Ciubotaru
Microsoft is about to make its way in the social network market soon, by purchasing 5 percent of Facebook's stock. The networking site of over 42 million members is going public in 2008 or 2009, and it looks like Microsoft in interested in investing around $500 million. Facebook's value has been estimated around $10 billion and the whole company currently belongs to its creator, Mark Zuckerman, who has repeatedly stated he doesn't intend to sell it. He refused a buying proposal of $1 billion from Yahoo last year, so we shouldn't be expecting a major acquisition any time soon. As for future plans, Facebook intends to make its profiles widely available on search engines, a radical shift from the site where everyone knew their personal information was safe. Privacy on social networking sites was already a hot topic, and things look like they are about to get hotter. Sites already functioning as people browsers are already boasting millions of results for searches, Wink currently having 217 million in its index. The purpose of these sites is to provide online advertisers with specific user profiles for custom-made ads, while sites like Upscoop look through one user's list of friends to find the sites they regularly visit. Google is also expected to join the bidding game for the site, as it had rivaled before with Microsoft for a 5 percent stake of AOL. Google won then, but now it might be time for Redmond's giant to emerge as the victor, especially since stakes are higher for them this time.

Beliefnet Web site bought by News Corp. Daniela Simkova
Beliefnet Web site dealing with faith communities is being sold to Rupert Murdoch's News Corp. media conglomerate. News Corp. phrased on Tuesday, December 4th, that it would buy faith-based Web site Beliefnet. The amount of money for the Beliefnet is not known, is still undisclosed. Beliefnet has been founded in 1999 in New York. This Web site offers various editorial content, such as blogs, news, religious reference, or even a message boards and non editorial things, such as photo gallery or various social-networking items. Beliefnet Web site is not dedicated to any specific religion, it's content is addressed to religion in general, also politics or social and family life as well as any other trend of modern life. Beliefnet Web site is visited by more than 3.1 million visitors per month and about 7.6 million of subscribers.Beliefnet is planned to become a part of Fox Digital Media. Don Fawcett, a Fox Digital Media President, said: "Beliefnet has garnered respect for its commitment to quality, editorial strength and unbiased approach to faith and spirituality from a broad range of consumers, religious and political leaders, journalists and advertisers." Mr. Don Fawcett also phrased what is Fox Digital Media up to: "leverage these characteristics across a broader media canvas and provide programming, production, advertising sales, technology and marketing expertise."News Corp. also runs the popular MySpace Web site, which is ruled through Fox Interactive Media and owns several different resources focused on religion as well. These are for instance National Geographic Channel with it's programs on religious history, Fox Faith, a faith-based filmmaker, and many others.

The future of TV Guide magazine Petra Calovkova
TV Guide magazine is decreasingly profitable on the market in recent period. It is 54-years old magazine which is loosing readers and also money, because it is not able to adjust to new requirements, especially technological. Nowadays, people have usually no problem with access to Internet and so they find all the information about TV program there, when they need it and practically for free. Therefore TV Guide magazine started to concentrate more on writing about the people and characters from movies, serials and shows. That was surely a good step, but still not enough to ensure a position on a market which would be sufficient. Macrovision, which is a company providing copy protection, digital rights management, electronic licensing and software asset management technologies, is interested in buying TV Guide. Macrovision is planning a project of combining those companies and therefore its customers will be able to find out information about TV shows, have their space for photos, music library, and generally access to entertainment through different electronic devices. The price which offered is $2.8 billion. But it is still not clear what will happened if Macrovision buys TV Guide, nor weather it will actually be sold.

Countrywide- bankruptcy vs buyout

After Wall Street session on Tuesday and the stocks plunging, there were rumors of Countrywide Financial being on the edge of bankruptcy. Even though, the mortgage lender denied it, analysts say that regulators are accepting its buyout precisely to avoid bankruptcy. On the site of The Wall Street Journal and The New York Times there is mentioned that Bank of America Corp. is in talks to acquire Countrywide, the country's largest mortgage lender that lost a lot of money due to the sluggish housing market. After announcing that the country would falter if they don't get $4 million infused in their capital, Sean Egan, managing director of independent ratings firm Egan-Jones Ratings Co., said that the buyout is the only reasonable solution. Nevertheless, such a transaction requires Fed's approval and the bank regulators refused to give any comments on the matter. Furthermore, the federal law prohibits for any bank to make acquisitions that would increase a bank's market share to 10 percent of U.S. deposits and the increase of Bank of America market share would be 9.88. Bart Nater, a San Francisco-based senior analyst with consulting firm Celent, expressing the opinion of banking industry experts, stated that it is no one's responsibility to solve the problems of the largest mortgage originator in the country. Regulators are concerned of the implication of Countrywide's collapse and who's going to collect the mortgage for millions of US home loans. There are no clear or sure news of such talks being held between the two mentioned previously, both Bank of America, which took last summer a 16 percent stake in Countrywide, and the mortgage lender refused to give any comments. On Thursday The New York Stock Exchange asked Countrywide to issue a public statement explaining the unusual trading activity that changed from plummeting its stock's price into raising it. Until now, there are mere speculations, therefore, stay connected this sound promising.

Wikia, where people search and other people provide results

It's strange how the Internet changes every day and changes our lives too. It's become a place for business, for finding information, meeting friends, or advertise whatever you want to sell. It's also a place where idealists meet and come up with new ways to make this world a better place. Such a man is Jim Wales, the founder of Wikipedia, an encyclopedia with articles written and edited by a community of volunteers and is therefore, free. Wales now intends to release a search engine also based on a community's input, because he thinks the results from this type of site selection would be much more relevant. He wants the engine to be called Search Wikia and has already employed the help of people like Jeremie Miller, the creator of Jabber, to create a platform for different search engines to work together. It's not sure whether Wikia is intended to be specialized in certain areas, or will deliver general results, and it's also unclear how Mr. Wales will keep the results correct and relevant, or how many people will be interested in taking the time to review hundreds of millions of websites. Because the founder's ambition is high: he wants to rival Google, so he needs many results for each search. Still, he is aware that this type of endeavor will take a while to become popular and that it won't be of much importance from the beginning. Wikia will be released in the fourth quarter of this year and has recently acquired its very own Web crawler called Grub from LookSmart Ltd.

Fishy TeleBlend

SunRocket Inc. used to be the second biggest U.S. supplier of Internet phone services. A few weeks ago it appeared to have shut down without notifying more than 200,000 clients.The customer service line offered costumers a short recorded message: "We are no longer taking customer service or sales calls. Goodbye."SunRocket was formed in 2004 at attracted customers with the fee of $199 for unlimited phone calling for one year in Canada, USA and Puerto Rico.As I was looking for information about TeleBlend- a small Internet-phone service company based in Maine which entered the agreement to acquire certain strategic assets of the Vienna company I found a discussion on the Broadbandreports forum(http://www.broadbandreports.com/forum/r18701325-Who-the-f-is-TeleBlend). People were furious. They were wondering who TeleBlend is and how can those guys imagine they will sign up for a contract with them, considering their web domain was only two days old and they were already sending emails on behalf of SunRocket to promote themselves.I find it hard to believe to because you don't need to much brains to see they don't look like a serious company.Even their slogan is copied. Remember "The future's bright, the future's Orange."?Well..."Change is good and with TeleBlend the future is brighter than ever."How does this sound you: "We have already been successful in getting your services restored and ready to go. Included is a special offer only available to SunRocket customers. Until the end of your annual contract, TeleBlend will give you the exact same services you know and love for only $12.95/month."Maybe they should do a little web searching and read the reactions they've caused and then revise their PR strategy because SunRocket clients won't buy it. I don't see why they should.
